TERMS AND CONDITIONS

These Terms and Conditions ("Agreement") are entered into between Softlab IT (hereinafter referred to as "Company") and the Client (hereinafter referred to as "Client") collectively referred to as the "Parties."

Scope of Services

The Company agrees to provide software development services as agreed upon in a separate agreement or project proposal.

Client Responsibilities

The Client shall provide all necessary information, materials, and access required by the Company to perform the services effectively and efficiently.

The Client shall provide timely feedback, approvals, and decisions to enable the Company to meet project milestones and deadlines.

The Client is responsible for ensuring that all provided materials, including software, content, and intellectual property, comply with applicable laws and regulations.

Project Development

The Company will use its best efforts to deliver the agreed-upon services within the specified timeframe. However, any delays or changes in the project scope may result in adjustments to the project timeline and cost, subject to mutual agreement between the Parties.

The Company retains the right to determine the appropriate development methods, technologies, and tools to complete the project unless otherwise specified in the agreement.

Intellectual Property Rights

The Client retains ownership of all intellectual property rights in materials and content provided to the Company.

The Company retains ownership of all intellectual property rights in software code, designs, and other deliverables created by the Company during the project unless otherwise specified in the agreement.

Upon full payment, the Company grants the Client a non-exclusive, worldwide, royalty-free license to use the deliverables for the agreed-upon purpose.

Confidentiality

The Parties agree to keep all confidential information received from the other Party confidential and not disclose it to any third party, except as required by law.

The obligation of confidentiality shall survive the termination or expiration of this Agreement.

Limitation of Liability

The Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with the performance or non-performance of the services.

The maximum liability of the Company for any claim related to the services provided shall not exceed the total fees paid by the Client.

Termination

Either Party may terminate this Agreement upon written notice if the other Party materially breaches any of the terms and conditions stated herein.

In the event of termination, the Client shall pay for any completed work up to the termination date and any additional costs incurred due to the termination.

Entire Agreement

This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, whether oral or written, relating to the subject matter herein.

By engaging the services of Softlab IT, the Client acknowledges and agrees to be bound by these Terms and Conditions.
